LLC d/b/a Network Weather ("Primatech," "Network Weather," "Company," "we," "us," or "our"), a California Limited Liability Company, governing your access to and use of the Network Weather website at www.networkweather.com (the "Site"), the Network Weather desktop application (the "App"), and all related services (collectively, the "Service").
By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Service after any changes constitutes acceptance of the new Terms.
The Service is intended for users who are at least 18 years of age. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
Network Weather is a network diagnostics and monitoring tool that helps users understand and troubleshoot their network connectivity. The Service collects network telemetry data including, but not limited to:
The Service does not monitor, record, or analyze network traffic content, websites visited, or applications used. We focus solely on network performance and connectivity diagnostics.
Network Weather is offered on a freemium basis, with both free and paid tiers available. Features and limitations of each tier are described on our website and may change from time to time. All tiers are subject to these Terms.
Managed Service Providers (MSPs) and enterprise customers may deploy Network Weather across multiple endpoints under appropriate licensing agreements.
MSPs with appropriate licensing may rebrand and redistribute Network Weather to their clients under white-label terms. White-label deployments are subject to:

The Service, including all content, features, and functionality, is owned by Primatech Paper Co. LLC and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written permission.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes. This license does not include the right to:
You retain ownership of any data you provide to the Service. By using the Service, you grant us a license to collect, process, and use your data as described in our Privacy Policy, including the right to use anonymized, aggregated data for service improvement and the training of AI classifiers.
The Service utilizes third-party infrastructure and services, including but not limited to Google Cloud Services, Anthropic, and Cloudflare. Your use of the Service is also subject to any applicable terms of these third-party providers. We are not responsible for the availability, accuracy, or content of third-party services.
The Service is provided on a "best efforts" basis without any guaranteed service level agreement (SLA). We do not guarantee any specific uptime, availability, or response times. While we strive to provide helpful support, support is provided without warranty as to response time or resolution.

Network Weather provides diagnostic information and suggestions based on automated analysis. These suggestions are not guaranteed to be accurate or appropriate for your specific situation. You assume full responsibility for any actions taken based on information provided by the Service, including any changes to your network configuration, hardware, or software.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PRIMATECH PAPER CO. LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

Before filing a formal dispute, you agree to try to resolve any dispute informally by contacting us at legal@networkweather.com. We will try to resolve the dispute informally within 60 days.
If we cannot resolve a dispute informally, you and Primatech agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Service through binding individual arbitration, rather than in court, except that either party may bring individual claims in small claims court if they qualify.
Arbitration shall be conducted by JAMS under its Streamlined Arbitration Rules and Procedures. The arbitration will be held in San Mateo County, California, unless you and Primatech agree otherwise.
YOU AND PRIMATECH AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.
You may opt out of this arbitration agreement by sending written notice to legal@networkweather.com within 30 days of first accepting these Terms. Your notice must include your name, address, and a clear statement that you wish to opt out of arbitration.
These Terms and any dispute arising out of or related to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.
For any disputes not subject to arbitration, you agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in San Mateo County, California.
The Service is operated from the United States and is intended primarily for users in the United States. All data collected through the Service is stored and processed in the United States.
We make no representation that the Service is appropriate or available for use in other locations. If you access the Service from outside the United States, you do so at your own risk and are responsible for compliance with local laws.
The Service is not available in China and may not be used by individuals or entities located in China or subject to Chinese jurisdiction.
You may stop using the Service at any time. To delete your account, contact us at support@networkweather.com.
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to:
Upon termination, your right to use the Service will immediately cease. We may delete your account and data in accordance with our data retention policies. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, indemnification, and dispute resolution.
These Terms, together with our Privacy Policy and any additional terms for specific services, constitute the entire agreement between you and Primatech regarding the Service.
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
